Who can attend the General Meeting?
You are legally entitled to attend the Meeting if you own Wavestone shares, whether registered or bearer, and if these shares are registered with Wavestone or in bearer share accounts on the second business day prior to the Meeting, i.e. July 23, 2024 at 00:00 (CET).
If you hold Wavestone bearer shares, you must provide proof of ownership with a certificate of participation issued by your financial intermediary and attached to your remote voting form or voting proxy.
The Management of Wavestone has decided to hold the General Meeting of July 25, 2024 in presence of the shareholders.
The shareholders who will physically attend the General Meeting will be able to ask questions and vote during the meeting by using an electronic voting device.
Shareholders may, however, if they wish, vote before the Meeting or give a proxy to a third party.
Shareholders who do not wish to or cannot attend the meeting in person may follow the entire meeting live by videoconference. They will also be able to vote live and remotely.
Shareholders wishing to attend the Meeting in person may request an admission card as follows:

Request for an admission card electronically
If you are a registered shareholder, make your request online on the secure VOTACCESS platform accessible via the Espace Actionnaire of Uptevia’s website at the following address: https://www.investor.uptevia.com.
Connect to the Espace Actionnaire website, using the login that can be found on the top right-hand corner of your postal voting form or on your electronic notice of meeting, and follow the instructions given to request an admission card. If you no longer have your login or password, you can contact the following number: +33.(0)1.57.78.34.44.
If you are a holder of bearer shares: it is your responsibility to find out whether or not your account-holding institution is connected to the VOTACCESS website and, if so, whether this access is subject to specific conditions of use. If the institution holding your account is connected to the VOTACCESS site, you can identify yourself on the Internet portal of your account-holding institution and follow the instructions to request an admission card.
You have the possibility of sending your voting instructions and appointing or revoking a proxy by Internet, before the General Meeting, using the VOTACCESS site, under the following conditions:
You are a registered shareholder
Log on to the VOTACCESS site using the Espace Actionnaire of Uptevia’s website at the following address: https://www.investor.uptevia.com
Then follow the instructions to go to VOTACCESS. Use the login and the shareholder ID number provided before the General Meeting by post.
You are a holder of bearer shares
You must find out whether or not your financial intermediary is connected to the VOTACCESS site, and, if so, whether or not their access is subject to any special conditions.
Case 1: your financial intermediary is connected to the VOTACCESS site
You must identify yourself on the Internet portal. You must then click on the icon that appears in the line corresponding to your shares and follow the instructions on the screen in order to access the VOTACCESS site.
Case 2: your financial intermediary is not connected to the VOTACCESS site
You may send notifications of appointments or revocations of proxies to the following address ct-mandataires-assemblees@uptevia.com, providing the following details: name of the company, date of the General Meeting, family and first names, address, and banking details of the mandator, as well as the family and first names, and if possible the address of the proxy. You must ask your financial intermediary to send a written confirmation to Uptevia (see address, below).
To vote by post or to be represented by giving a proxy to the President of the General Meeting or a different proxy, you must proceed as follows:
You are a registered shareholder
Send back the postal vote/proxy form that you have received along with the invitation to Uptevia (see address, below).
You are a holder of bearer shares
Ask your financial intermediary for a postal vote/proxy form as of the date of the meeting notice of General Meeting, and at latest six days before the General Meeting.
Once you have filled it in, send the form to the financial intermediary, who will add an ownership certificate and send them together to Uptevia (see address, below).
NB: In order to be taken into account, postal voting forms and appointments or revocations of proxies must be received by the company or the General Meetings department of Uptevia, the authorized representative of Wavestone, at least three days before the General Meeting.
The platform offers two ways of registering online for the Wavestone General Meeting:
Option 1: an e-mail invitation, also known as “express registration”
Option 2: a guided online procedure.
It is strongly recommended to log on at least 20 minutes before the start of the General Meeting, in order to proceed with the online registration.
Option 1: Invitation e-mail or “express registration”
This option is reserved for all Wavestone shareholders for whom Uptevia and/or Wavestone have provided with the participant’s e-mail address and cell phone number, with a guarantee of verified identity.
• The platform sends an invitation e-mail to the shareholder at the e-mail address provided by Uptevia or Wavestone at the start of the physical General Meeting. This e-mail contains a secure, personalized link.
• The shareholder must enter a “PIN code” (Personal Identification Number) received by text message. He will then be able to sign the attendance sheet electronically and form part of the General Meeting quorum, and will have access to his personalized web page to:
o attend the General Meeting remotely;
o ask written questions;
o vote on the resolutions during the meeting.
Option 2: Guided online procedure
This option is reserved for all Wavestone shareholders.
• The shareholder goes to agd.dmiart.com/wavestone, on which he can vote online or watch the General Meeting webcast. Online registration is secure, and shareholders have two ways of doing this:
a) By entering the last 7 digits of the Votaccess reference code, if they have registered for the Wavestone General Meeting using this online platform;
b) By entering their personal details (title, first name, surname and address) in all other cases.
a) Shareholder with a Votaccess reference code
• If the shareholder correctly enters the last 7 digits of this code, he will be taken to the terms and conditions acceptance page, where he must enter the “PIN code” (Personal Identification Number) received by text message on his cell phone number. If the shareholder enters the PIN code correctly, he will be able to sign the attendance sheet electronically. He will then be part of the General Meeting quorum, and will have access to his personalized web page to:
o attend the General Meeting remotely;
o ask written questions;
o vote on the resolutions during the meeting.
b) Other cases
The platform asks the shareholder to enter its personal information (title, first name, last name, address), and uses this information to find the shareholder’s record in the database received by Uptevia. There are three possibilities:
Case 1: the shareholder’s record is found among those supplied by Uptevia,
Case 2: his record is not found and he is a non-registered bearer shareholder at the Wavestone General Meeting,
Case 3: his record is not found and he is not a non-registered bearer shareholder at the Wavestone General Meeting.
Case 1: Shareholder found in the records received by Uptevia
• The platform asks the shareholder to enter his e-mail address and cell phone number, and to take a picture of himself with his identity document (examples of valid documents: national identity card, driving license, passport, social security card with picture). An online operator checks that the document matches the shareholder’s picture and the name on the card. If the match is confirmed, the shareholder will receive an invitation e-mail containing a secure, personalized link.
• The shareholder is taken to the terms and conditions page. If he accepts the terms, he must enter the PIN code received by text message. If he enters the PIN code correctly, he will be able to sign the attendance sheet electronically. He will then be part of the General Meeting quorum, and will have access to his personalized web page to:
o attend the General Meeting remotely;
o ask written questions;
o vote on the resolutions during the meeting.
Case 2: Shareholder not found in the records received by Uptevia, and he is a non-registered bearer shareholder
• The platform asks the shareholder to enter his e-mail address and to take a picture of himself with his identity document (valid documents: national identity card, driving license, passport, social security card with picture), and then asks the shareholder to download or capture the following documents using the camera on his device:
– Certificate of participation, and optionally
– Kbis extract, only if he/she is the representative of a legal entity,
– Signed proxy, only if he/she is the proxy of another shareholder, or
– To enter the details of their Account Holder
• An online operator checks that the document matches the shareholder’s picture and the name entered in his card and the validity of the document(s) supplied. If the operator confirms that the bearer shareholder’s identity document and documents are valid, the shareholder will receive an invitation e-mail containing a secure, personalized link. The shareholder is taken to the terms and conditions page. If he accepts the terms, he must enter the PIN code received by text message. If he enters the PIN code correctly, he will be able to sign the attendance sheet electronically. He will then be part of the General Meeting quorum, and will have access to his personalized web page to:
o attend the General Meeting remotely;
o ask written questions;
o vote on the resolutions during the meeting.
Case 3: Shareholder who declares that he is registered for the Wavestone General Meeting or is a registered shareholder, but is not found in the records received by Uptevia
• The platform invites the shareholder to call the call center (01 86 47 13 99 toll-free, call recorded). If the operator identifies the shareholder’s, he will receive an invitation e-mail containing a secure, personalized link. The shareholder is taken to a secure page on the platform.
• The platform asks the shareholder to take a picture of himself with his identity document (valid documents: national identity card, driving license, passport). An online operator checks that the document matches the shareholder’s picture and the name entered in his card. If a match is found, the shareholder will receive an invitation e-mail containing a secure, personalized link.
• The shareholder is taken to the terms and conditions page. If he accepts the terms, he must enter the PIN code received by text message. If he enters the PIN code correctly, he will be able to sign the attendance sheet electronically. He will then be part of the General Meeting quorum, and will have access to his personalized web page to:
o attend the General Meeting remotely;
o ask written questions;
o vote on the resolutions during the meeting.

Case 2: Shareholder not found in the records received by Uptevia, and he is a non-registered bearer shareholder
• The platform asks the shareholder to enter his e-mail address and to take a picture of himself with his identity document (examples of valid documents: national identity card, driving license, passport, social security card with picture), and then asks the shareholder to download or capture the following documents using the camera on his device:
– Certificate of participation, and optionally

• The platform asks the shareholder to take a photo of himself with their identity document (valid documents: national identity card, driving license, passport, social security card with picture). An online operator checks that the document matches the shareholder’s picture and the name on the card. If the match is confirmed, the shareholder will receive an invitation e-mail containing a secure, personalized link. He is taken to the page for acceptance of the terms and conditions of use. If he accepts the terms, he will have access to his personalized web page to attend the General Meeting remotely and ask written questions.
For electronic appointments and revocations of proxies to be valid and therefore duly processed, the confirmations must be received at latest on the day before the General Meeting by 3 pm (Paris time).
The VOTACCESS site will be open from July 4, 2024 at 10am Paris time.
The chance to vote by Internet before the General Meeting will end on the day before the meeting, i.e. on July 24, 2024 at 3 pm Paris time.
However, in order to avoid any overloading of the VOTACCESS site, we advise you not to wait until the day before the AGM to vote.
